Terms of Service

1. Acceptance of Terms

By installing, accessing, or using COD Confirm ("the App"), you ("you", "Merchant") agree to be bound by these Terms of Service. If you do not agree, do not install or use the App.

"You" refers to the Shopify store owner or authorized administrator who installs the App.

2. Service Description

COD Confirm is a Shopify app that controls Cash on Delivery (COD) payment visibility at checkout. The App provides the following features:

• COD visibility rules based on delivery country, customer tags, and cart total (Premium)
• Pincode/zipcode-based COD blocking with CSV import/export
• Two rule modes: Hide When (blocklist) and Show Only When (allowlist)
• Built-in rule tester for checkout simulation
• Drag-and-drop payment method reordering at checkout (Premium)
• Configuration backup and restore on plan changes

The App runs as a Shopify Function on Shopify's infrastructure. We do not operate checkout servers or process payments.

3. Account & Access

• Access requires a valid Shopify store and OAuth authorization
• You are responsible for maintaining the security of your Shopify account
• One App installation per Shopify store
• You must have the authority to install apps on behalf of the store

4. Plans & Billing

• All billing is processed through Shopify's billing system
• You may upgrade or downgrade at any time through the App
• On downgrade: Excess rules are disabled (not deleted), cart total rules are disabled, pincodes are trimmed to the free limit, and payment reordering is turned off. Your Premium configuration is saved as a snapshot.
• On re-upgrade: You can restore your saved configuration with one click.
• Refunds are handled per Shopify's billing policies

5. Acceptable Use

You agree to:

• Use the App only for its intended purpose — managing COD payment visibility at checkout
• Not attempt to circumvent plan limits or feature gates
• Not use the App to facilitate fraud, money laundering, or other illegal activities
• Not reverse engineer, decompile, or attempt to extract the source code of the Shopify Function
• Not use automated tools to abuse the App's APIs or support system

6. Intellectual Property

• COD Confirm, its code, design, and branding are owned by Atharv Enterprises
• Your rule configurations, pincode lists, and other data remain your property
• We grant you a non-exclusive, non-transferable, revocable license to use the App while you maintain a valid installation

7. Service Availability

• The App is provided on an "as available" basis. We make no uptime guarantees or service-level commitments of any kind.
• The Shopify Function runs entirely on Shopify's infrastructure — its availability, performance, and behavior are governed solely by Shopify's own terms and SLA, not ours
• We may modify, suspend, or discontinue the App (or any part of it) at any time, with or without notice, for any reason
• We are not liable for any downtime, service interruptions, Shopify platform outages, API changes, or any other disruption to your store or checkout, regardless of cause

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
• WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• WE DO NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS OR THAT THE RESULTS OBTAINED FROM USE OF THE APP WILL BE ACCURATE OR RELIABLE
• WE MAKE NO WARRANTY REGARDING THE CORRECTNESS, ACCURACY, OR RELIABILITY OF ANY COD VISIBILITY RULES, PINCODE BLOCKING, PAYMENT REORDERING, OR ANY OTHER APP FUNCTIONALITY
• ANY RELIANCE ON THE APP AND ITS OUTPUT IS ENTIRELY AT YOUR OWN RISK

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL ATHARV ENTERPRISES, ITS OWNERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES
• WE SHALL NOT BE LIABLE FOR ANY DIRECT DAMAGES ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE APP, INCLUDING BUT NOT LIMITED TO: INCORRECT COD VISIBILITY AT CHECKOUT, INCORRECT PINCODE BLOCKING, INCORRECT PAYMENT METHOD ORDERING, FUNCTION EXECUTION FAILURES, LOST ORDERS, FAILED TRANSACTIONS, OR ANY IMPACT ON YOUR STORE'S CHECKOUT PROCESS
• OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE LESSER OF: (A) THE AMOUNT YOU ACTUALLY PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY US DOLLARS (US $50.00)
• THE FOREGOING LIMITATIONS APPLY REGARDLESS OF WHETHER THE DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES

You acknowledge that the App controls payment visibility at checkout, and that misconfigured rules may result in COD being shown or hidden incorrectly. You are solely responsible for configuring, testing, and verifying all rules, pincode lists, and payment reorder settings before enabling them on your live store. We provide a built-in rule tester for this purpose, and you agree to use it at your own discretion.

10. Indemnification

You agree to indemnify, defend, and hold harmless Atharv Enterprises, its owners, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or inability to use the App
• Your violation of these Terms of Service or any applicable law or regulation
• Any rules, pincode lists, or configurations you create or apply using the App
• Any dispute between you and your customers related to COD payment availability, payment method ordering, or checkout behavior
• Any third-party claim arising from your use of the App in connection with your Shopify store

11. Data & Privacy

• See our Privacy Policy for details on data collection, storage, and deletion
• We handle data in compliance with GDPR, CCPA, and India's DPDPA
• On uninstall, data is soft-deleted for 48 hours (for reinstall convenience), then permanently deleted upon Shopify's shop/redact webhook
• A Data Processing Agreement is available for merchants who require one

12. Termination

• By you: You may terminate at any time by uninstalling the App from your Shopify admin
• By us: We may suspend or terminate your access for violation of these Terms, with reasonable notice when possible
• Upon termination, your data is handled per our Privacy Policy
• Sections 6 (IP), 8 (Warranties), 9 (Liability), 10 (Indemnification), and 14 (Governing Law) survive termination

13. Changes to Terms

We may update these Terms of Service from time to time. Changes become effective upon posting to this page. The "Last updated" date at the top reflects the most recent revision.

For material changes, we will notify you via the App dashboard or email. Continued use of the App after changes constitutes acceptance.

14. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of the App shall be resolved through arbitration in Gurugram, Haryana, India, in accordance with the Arbitration and Conciliation Act, 1996.

Before initiating arbitration, both parties agree to attempt resolution through good-faith negotiation for at least 30 days.
